Our Criteria

We are currently investing out of our $250K Fund I, making investments of $25K-$50K in early-stage angel rounds.

• High quality, resilient management team with at least one full-time founder
• Must have high-level Ai expertise
• Pre product market fit (We are very early)
• Disruptive business model solving an important problem
• Large total market size ($1B+) with positive demand drivers
• Attractive valuation in priced or capped Angel Round (2.5%+ equity target with $1MM post-money valuation)
• Clean capitalization table
• Ability for Overlap Capital to add strong added value
• Investment realization horizon of 4 to 7 years

We only invest in U.S., Latam, or Africa-based companies and have preference for Delaware C-corps.
